Beta agreement

Version 1.0, effective October 29, 2026

This agreement is between Dell Donatoni ("we", "us"), the maker of Northing, and the person or organization evaluating Northing ("you"). Northing is pre-release desktop software for working with geographic data. It is provided free of charge, for evaluation only, under the terms below.

1. Acceptance

You accept this agreement when you check the acceptance box on the license portal or in the application. If you accept for an organization, you confirm that you are authorized to do so, and "you" means that organization and its staff who use Northing. If you are not authorized, do not accept and do not use Northing.

The license portal records which version of this agreement you accepted and when (see section 8). The application shows the agreement again before activation.

2. What you may do

We grant you a limited, non-exclusive, non-transferable license, with no right to sublicense, to install and use Northing for internal evaluation during the term in section 3.

  • Your license key activates Northing on up to two computers at a time. You can release the computer you are on from the application (Settings, License), or any of your computers from the portal, to activate another.
  • Use Northing to test it with your own data and to tell us what works and what does not.
  • Keep copies of your own data, exports and maps. They are yours.

3. Term and the beta end date

Your license runs for thirty days from the first time you activate it. On request we can extend it (see section 10). No license runs past the fixed beta end date, whatever its own expiry says. The beta program currently ends on January 31, 2027 (UTC). The application and the portal show the end date that applies to your license.

The application checks the licensing service when it starts and about once an hour while it runs. If it cannot reach the service, it keeps working on its last signed license file for up to seven days, then treats the license as ended until it can check again.

4. What you may not do

  • Do not share your license key, installer or a copy of Northing with anyone outside your organization.
  • Do not sell, rent, lend, host or redistribute Northing or any part of it.
  • Do not reverse engineer, decompile or disassemble Northing, or try to defeat its license checks, except to the extent applicable law expressly allows despite this restriction.
  • Do not use Northing to build a competing product.
  • Do not remove or change notices about ownership, licensing or attribution.

Beta software has defects. Do not rely on Northing as a system of record or for a decision that cannot be checked another way. Keep your authoritative data where it lives today and keep independent backups.

5. Ownership and feedback

Northing, its design, code and documentation belong to us and our licensors. You get the rights in section 2 and nothing else. Open source components inside Northing are governed by their own licenses, which this agreement does not change.

If you give us feedback (ideas, bug reports, feature requests, screenshots of problems, example files you choose to send), you give us a perpetual, irrevocable, royalty-free right to use it for any purpose, including in Northing and in descriptions of it, without naming you or your organization unless you agree. Give us only feedback you are allowed to give. Feedback that is a public record under your law stays a public record; section 15 covers this.

6. Confidentiality of the pre-release software

Northing in beta form, its unreleased features, release notes, pilot documentation and our private communications with you are confidential. Keep them within your organization and the people evaluating Northing. Do not publish reviews, screenshots or recordings of unreleased features without asking us first.

This does not cover information that is already public (for example, what we publish on northing.tech), information you already had or receive lawfully from someone else, information you develop on your own, or information you must disclose under public records law, a court order or another legal duty (see section 15). Confidentiality lasts for two years after the beta ends or until we release the feature publicly, whichever comes first.

7. Your data

Northing works on your computer. Your databases, maps, imports, exports, chat history, settings and backups stay on your computer unless you choose to send them somewhere.

  • Your data stays yours. We never receive it through licensing, and we do not ask for it.
  • You are responsible for having the right to use the data you put into Northing, for following your organization's policies and for any data classification, records or security rules that apply to it.
  • Northing can connect to ArcGIS portals, model providers, outside data sources and other services that you configure or turn on. When you use them, your data goes to those services under your own accounts and their terms, not ours. Section 8 lists them.
  • Keep backups. Northing has backup and export tools, but beta software can lose or corrupt data, and we cannot recover it for you.

8. Privacy: what Northing and the portal send and store

This section describes everything we see, exactly. Nothing else is sent to us.

Licensing (the application)

Northing uses Keygen (api.keygen.sh, operated by Keygen LLC) as its licensing service. When you activate, refresh, deactivate or when the application checks your license, it sends to Keygen:

  • your license key,
  • a machine identifier, which is a one-way hash (SHA-256) of a system identifier of your computer combined with our account identifier; the raw system identifier never leaves your computer,
  • the operating system name (for example "macos"), and
  • the Northing version, in the request's user agent.

Keygen returns a signed license file that the application stores on your computer. The application also lists the machines on your license so you can release one. When the application checks for updates, it sends the same license key with its platform, processor architecture and current version to Keygen's update endpoint. No file names, data, map contents, user names or email addresses are sent for licensing.

The application never sends telemetry, analytics, usage statistics or crash reports to us or anyone else. Crash reports and diagnostic bundles are written to your computer only, with free-form text removed, and leave it only if you choose to send them to us yourself.

The license portal (licenses.northing.tech)

When you request access on the portal, it stores in our Keygen account: your name, email address, organization, role, the reason you gave, a hash of the agreement text you accepted and the time you accepted it. When you sign in, it stores a hash of your one-time sign-in link for fifteen minutes and the time you verified your email. When you request more time, it stores the number of days and the reason. When we act on your request, suspend, reinstate or extend a license, the portal stores our decision, any note we wrote and an append-only audit line (time, who acted, what happened). To limit abuse, the portal keeps a salted, truncated hash of your network address and email address for one hour per request; it does not keep your network address itself. The portal sets only the cookies it needs to sign you in and protect its forms.

Email

The portal emails you through Resend (resend.com, operated by Resend Inc.) from licenses@northing.tech: sign-in links, our decision on your request, your license key with a link to the pilot guide, extension decisions, and notices when a license is suspended or restored. Emails are plain text, sent over TLS, with no open or click tracking. Replies to licenses@northing.tech are forwarded to us through Cloudflare Email Routing and reach the owner of Northing directly.

Services under your own accounts

The following connections are yours and are not covered by our privacy commitments. We are not a party to them and do not receive what they receive.

  • Map tiles. By default, maps draw on OpenFreeMap tiles (tiles.openfreemap.org). Fetching tiles tells that service which areas you look at. You can switch to a local tile archive or to a basemap from your own ArcGIS portal.
  • ArcGIS portals, Overture Maps places, FEMA flood hazard zones, public elevation services and outside map services. Each is off until you turn it on in Settings and accept its terms; the settings screen says what each one discloses (for example the map extent or sampled coordinates). Your IT department can block any of them with a policy file.
  • The assistant. Northing includes no language model and we provide none. If you want the assistant, you connect a provider under your own account: OpenAI, ChatGPT sign-in, Anthropic, Azure OpenAI (commercial or Government), Amazon Bedrock (including GovCloud), or a local server on your computer. Your messages, attachments, and the schema and rows the assistant reads from your tables to answer you go to that provider under its terms. Your IT department can restrict providers and endpoints, tag tables as exempt or criminal justice information so their row values never reach a model, or allow schema only. Keys and sign-ins are stored in your operating system keychain. A usage log of each model request (time, provider, model, token counts and the chat's title, not its content) stays on your computer.
  • MCP servers you add. A server you configure runs under your permissions or at the endpoint you chose. Each tool call asks you first unless you choose to always allow it.

Retention and deletion

Access requests that are not verified by email within seven days are deleted automatically. Other portal records (your account, licenses, machines, requests, decisions and audit lines) are kept for the life of the beta program so that we can show who accepted which agreement and manage licenses. When the beta program ends, or earlier if you ask, we delete your portal account and license records within thirty days, except what we must keep to show acceptance of this agreement or to meet a legal duty. Email us at licenses@northing.tech to ask for a copy of what we hold or for deletion.

Keygen and Resend keep their own operational logs (for example, delivery records and request logs, which include the network address a request came from) under their own terms and retention periods, which we do not control. Keygen may also record when each activated machine was last seen.

9. Suspension and termination

Either of us can end this agreement at any time, for any reason, by notice. You can simply stop using Northing and deactivate your machines. We can suspend or end your license through the portal; you will get an email with the reason.

A suspended or ended license takes effect in the application at its next license check (within about an hour online, or when the offline allowance in section 3 runs out). You can ask us to reinstate a suspended license by replying to the email.

Sections 5 (ownership and feedback), 6 (confidentiality), 7 (your data), 8 (privacy), 11 (when your license ends), 12 (no warranty), 13 (limitation of liability), 15 (public records), 17 (governing law) and 18 (general) survive the end of this agreement.

10. More time

You can ask for more time from the application (Request more time) or from the portal (My license). Tell us how many days you need (1 to 365) and why. We decide each request and email the answer. An extension can never run past the beta end date; if the program itself is extended, we announce it. A suspended license cannot be extended until it is reinstated.

11. When your license ends

When your license expires, is suspended or is ended, Northing does not lock you out of your work and never uninstalls or deletes anything.

  • You can still open Northing read-only: browse your workspaces, maps and tables, run queries you already saved, and export your existing tables, reports and change records in every supported data format.
  • Backups, restores, snapshots, saved copies and project packages keep working so you can get everything out.
  • New work (edits, imports, analysis, new queries, publishing, exporting a map as an image, the assistant) and software updates wait until the license is renewed or a new key is entered.

Your files are standard formats on your disk (DuckDB databases and the exports you made). They remain yours after the beta and you can keep them.

12. No warranty

Northing is provided "as is" and "as available", with all faults, without any warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. Results from Northing (measurements, coordinate transformations, analyses, flood or elevation context, model answers) are evaluation output; check them against your authoritative sources before you act on them. We may change, limit or stop the beta, any feature or the portal at any time.

Some jurisdictions do not allow some of these disclaimers, so some may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law:

  • Neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, loss of use or procurement of substitute products, arising from this agreement or Northing, however caused and under any theory of liability, even if told such damages were possible.
  • Our total liability to you for all claims arising from this agreement or Northing will not exceed one hundred US dollars (USD 100).

These limits do not apply to liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence, where that law applies.

You are not required to indemnify or defend us under this agreement. If you are a public entity, nothing here asks you to agree to any indemnity, waiver of sovereign immunity, attorney's fee shifting or other term your law does not allow you to accept. Your own remedies are limited only as stated in this section and section 12.

14. Compliance

Each of us will follow the laws that apply to our side of this agreement. Do not use Northing where its use would be prohibited by export or sanctions law. Northing is not designed for personal or household use.

15. Public records and open government

Your organization may be subject to public records, open meetings, sunshine or freedom of information laws. Nothing in this agreement prevents you from complying with those laws, including disclosing this agreement, your correspondence with us or your feedback. If you receive a request for our confidential information, let us know as far as your law allows so that we can seek any protection available, but your legal duty comes first.

16. Changes to this agreement

We may publish a new version of this agreement with a new version number and effective date. A new version takes effect for you only when you accept it, which the portal or the application will ask you to do; until then, the version you accepted applies. If you do not want to accept a new version, you can stop using Northing and section 11 still applies to your data.

17. Governing law and disputes

This agreement is governed by the laws of the State of Florida, without regard to its conflict of law rules. If you are a public entity whose law requires a different governing law or venue, that requirement applies instead and the rest of this agreement stays in force. Before starting any formal proceeding, each of us will try in good faith for thirty days to resolve the dispute by talking with the other.

18. General

  • This agreement is the whole agreement between us about the Northing beta and replaces any earlier discussion. Any purchase order or other form you issue does not change it.
  • If part of this agreement is unenforceable, the rest stays in force and the part is read as narrowly as needed.
  • Not enforcing a term is not a waiver of it.
  • You may not assign this agreement; we may assign it to a successor of the Northing business.
  • Notices to you go to the email address on your portal account. Notices to us go to licenses@northing.tech.
  • Nothing here creates a partnership, agency or employment relationship. Northing is not a government product and we are not your contractor by reason of this agreement.

19. Contact
